1. About the Service

EasySalary is a payroll-only, multi-tenant web application that helps organisations manage employee records, attendance (manual or via linked biometric devices), holidays, week-offs, and payroll generation. The Service is provided by Gayatri Software.

2. Accounts & Organisations

• You must provide accurate information when registering and keep your login credentials confidential.
• You are responsible for all activity that occurs under your account and within organisations you administer.
• Each organisation is a separate tenant. Access to an organisation's data is governed by the role assigned to you (owner, admin, or staff).
• You must notify us promptly of any unauthorized use of your account.

3. Subscriptions & Billing

• Access to payroll generation and biometric device linking requires an active subscription for the organisation, billed on a device-count basis as displayed on our pricing page.
• Subscriptions are billed annually unless otherwise agreed in writing. Fees are exclusive of applicable taxes unless stated otherwise.
• Non-payment or expiry of a subscription may result in suspension of payroll generation and device-linking features for the affected organisation until renewed.
• Fees, once paid, are non-refundable except where required by law or expressly agreed by Gayatri Software.

4. Biometric Devices & Attendance Data

EasySalary can optionally connect to third-party biometric attendance devices linked to your organisation. You are responsible for obtaining any consents required under applicable law before enrolling employees' biometric data on such devices. Attendance punches synced from devices are used solely to compute attendance and payroll for your organisation.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable labour, tax, or data protection law.
• Attempt to access data belonging to another organisation without authorisation.
• Reverse engineer, probe, or interfere with the Service's infrastructure or security.
• Upload false employee, salary, or attendance data with intent to defraud.

6. Data Ownership

You retain ownership of the employee, attendance, and payroll data you input into the Service ("Customer Data"). Gayatri Software processes Customer Data solely to provide and improve the Service, as described in our Privacy Policy.

7. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or biometric device connectivity issues may temporarily affect availability. We are not liable for payroll delays caused by factors outside our reasonable control.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Gayatri Software shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from your use of the Service. Our total liability for any claim shall not exceed the subscription fees paid by you in the twelve (12) months preceding the claim.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access to the Service for any account or organisation that violates these Terms, fails to pay applicable fees, or poses a security risk to the Service or other users.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts having competence over Gayatri Software's registered place of business.
